Agreement Between You and MYai Sells Inc.
These Terms of Service (the “Terms”) govern your access to and use of MYai Sells Inc.’s Human AI GTM services and related applications, tools, and websites (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. Please keep a copy for your records.
MYai Sells Inc. develops and provides Human AI go-to-market (“GTM”) sales services that combine artificial intelligence with human-led support to help customers with sales and marketing activities (“Human AI”). The Services may include content generation, outreach support, campaign planning, and presentation services, subject to the plan you select and these Terms. The Human AI sales agent is an autonomous agent trained to deliver human-like sales presentations; however, its performance and outputs are limited to the information and knowledge base you supply or authorize us to use. You are responsible for the accuracy, completeness, and currency of the information you provide, and you acknowledge that incomplete or inaccurate inputs may affect results.
Subscriptions, Tokens, and Billing
1) Tokens. Many features of the Services operate on a token basis (“Tokens”). Tokens are units used to measure and limit usage of certain features. Each plan includes an allocated number of Tokens, which may renew monthly or as otherwise stated in your order, statement of work, or plan description.
2) Forever Free Plan. We offer a “Forever Free” plan that includes limited features and up to 200 Tokens per month (the “Free Tokens”) allocated to your account. Free Tokens reset monthly and are provided solely to allow limited use of the Services. If you exhaust your Free Tokens or reach the end of the monthly Free Token period, you must upgrade to a paid plan to continue using token‑gated features or any features not included in the Forever Free plan. We may change or discontinue the Forever Free plan at any time as described in “Changes to Terms,” but we will not reduce Free Tokens already granted for the current month.
3) 12‑Month Subscription Plan. Certain paid plans are offered on a 12‑month subscription term (the “Annual Subscription”). Unless otherwise stated, your Annual Subscription begins on the start date shown at checkout or in an order form and continues for twelve (12) months. You may suspend your Annual Subscription at any time by providing at least 30 days’ written notice. Billing will be paused during an approved suspension, effective at the end of the notice period (unless otherwise stated in your order form). Suspension also pauses access to the Services and pauses future token allocations during the suspension period. The subscription term remains twelve (12) months unless otherwise stated in your order form. Fees already paid are non-refundable unless required by law or expressly stated otherwise.
4) Performance‑Based Subscription. We may offer a performance‑based subscription where Tokens are not charged unless and until the Human AI delivers a presentation to you or your prospects. Under this model, token charges will commence only after (i) you have agreed that a presentation may commence, and (ii) the Human AI provides the presentation. Tokens are charged for the duration of the presentation (for example, from the time the presentation begins until it ends), as measured by our systems and subject to your plan rules.
5) Token Commencement, Duration, and Authorization. For paid plans, Token usage is deducted in accordance with your plan rules once you authorize the applicable work to commence. Unless otherwise stated in your order form, presentation-related token usage is measured and charged for the duration of each presentation session. For the performance‑based subscription, the authorization point is your explicit agreement that the presentation may commence, as described above.
6) Presentation Links and AIRPEC Delivery. MYai Sells Inc. may provide you with a generated presentation link using AIRPEC (Artificial Intelligence Remote Performance Capability) (“AIRPEC Link”). AIRPEC enables the Human AI agent to remotely access and use your customer-provided knowledge base (as authorized by you) for the purpose of delivering sales presentations through the Services. MYai Sells Inc. does not provide email or SMS messaging services. If you choose to invite prospects or customers to a presentation, you (or your chosen providers) are responsible for sending invitations via your own email, SMS, or other channels. You may also post or “pin” an AIRPEC Link on your website and/or social media pages to enable real-time sales engagement with visitors and sales presentations. Your use of any third-party email/SMS or social platforms is governed by those providers’ terms, and you are responsible for obtaining all required consents and complying with applicable marketing, privacy, and communications laws.
7) Carry‑Over Policy. Unless prohibited by your plan terms, we allow unused Tokens remaining at the end of a monthly period to be carried forward to the subsequent month and added to the regular monthly Token allocation provided under your subscription agreement. Carried-over Tokens do not extend the subscription term and may expire upon cancellation/termination or as otherwise stated in your plan details or order form.
8) Plan Details Control. If there is a conflict between these Terms and the token amounts, feature lists, pricing, or other plan details displayed at checkout or in an executed order form, the checkout display or order form (as applicable) will control for that specific purchase.
9) Taxes. Prices may exclude applicable taxes. You are responsible for any taxes, duties, or similar governmental assessments, except where we are required by law to collect them.
Electronic Communications
Visiting MYai Sells Inc., using the Services, or sending us emails constitutes electronic communications. You consent to receive communications from us electronically, such as by email, in-app notices, or postings within the Services. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
For clarity, MYai Sells Inc. may provide notices within the Services and may provide proprietary artificial intelligence remote performance capabilities “AIRPEC” Links and other digital resources. However, unless expressly stated in an order form, MYai Sells Inc. does not operate or provide bulk email or SMS delivery services for customer outreach; if you choose to contact prospects or customers by email or SMS, you are responsible for using your own accounts and providers and for obtaining any required consents.
Your Account
If you create an account or subscribe to the Services, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not assign or transfer your account to any other person or entity. MYai Sells Inc. is not responsible for unauthorized access to your account resulting from theft, misappropriation, or your failure to safeguard credentials. We reserve the right to refuse, suspend, or terminate access to the Services at our sole discretion, subject to applicable law.
Children and Eligibility
The Services are not intended for children. MYai Sells Inc. does not knowingly collect personal information from children under 13. If you are under 18, you may use the Services only with the permission and supervision of a parent or legal guardian.
Cancellation, Suspension, and Refund Policy
Unless otherwise required by law or expressly stated in an order form, fees are non-refundable. For Annual Subscriptions, you may suspend at any time by providing at least 30 days’ written notice, as described in the “Subscriptions, Tokens, and Billing” section. Billing is paused during an approved suspension (effective at the end of the notice period unless otherwise stated in your order form). If your plan provides for renewal, failure to give timely notice of cancellation (if applicable to your plan) may result in renewal consistent with your order form or plan terms. Links to Third‑Party Applications/Third‑Party Services
Certain features of the Services may be delivered by third parties or may link to third‑party applications or services. We do not control third‑party services and are not responsible for their content, policies, or practices. MYai Sells Inc. does not sell your registration information to third parties. Any information you share with third parties is governed by their terms and privacy policies.
No Unlawful or Prohibited Use; Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. As a condition of your use, you agree not to use the Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s use and enjoyment. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.
All content included as part of the Services—such as text, graphics, logos, images, and software—is the property of MYai Sells Inc. or its suppliers and is protected by intellectual property laws. You agree to observe all proprietary notices and restrictions and not to modify, publish, transmit, reverse engineer, create derivative works from, or exploit any content except as expressly permitted by these Terms or by written permission from MYai Sells Inc. and the applicable rights holder. No rights are granted by implication or otherwise except as expressly stated in these Terms.
International Users
The Services are controlled, operated, and administered by MYai Sells Inc. from offices in the United States. If you access the Services from outside the United States, you are responsible for compliance with all local laws. You agree not to use the Services in any country or in any manner prohibited by applicable laws, restrictions, or regulations.
Indemnification
You agree to indemnify, defend, and hold harmless MYai Sells Inc., its officers, directors, employees, agents, and third parties from and against any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of or inability to use the Services; (ii) any content you submit; (iii) your violation of these Terms; (iv) your violation of any rights of a third party; or (v) your violation of any applicable laws or regulations. MYai Sells Inc. reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to fully cooperate in asserting any available defenses.
Arbitration
If the parties are not able to resolve a dispute arising out of or relating to these Terms, the dispute will be resolved by final and binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association (AAA) or a similar arbitration service selected by the parties, by a single neutral arbitrator, in a location mutually agreed upon by the parties. The arbitrator’s award will be final, and judgment may be entered upon it in any court having jurisdiction. The prevailing party will be entitled to recover its costs and reasonable attorneys’ fees. This arbitration provision survives termination of these Terms.
Class Action Waiver
Any arbitration will take place on an individual basis. Class arbitrations and class/representative/collective actions are not permitted. The parties agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any putative class, collective, or representative proceeding. Unless both you and MYai Sells Inc. agree otherwise, the arbitrator may not consolidate more than one person’s claims or preside over any form of a representative or class proceeding.
Liability Disclaimer
THE SERVICES, INFORMATION, SOFTWARE, PRODUCTS, AND CONTENT INCLUDED IN OR AVAILABLE THROUGH THE SERVICES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY MADE TO THE SERVICES AND CONTENT. MYAI SELLS INC. AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE SERVICES AT ANY TIME.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OR CONDITION OF ANY KIND. MYAI SELLS INC. AND/OR ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYAI SELLS INC. AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY DAMAGES WHATSOEVER (INCLUDING LOSS OF USE, DATA, OR PROFITS) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICES, WITH THE DELAY OR INABILITY TO USE THE SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, OR RELATED CONTENT OBTAINED THROUGH THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICES.
Termination/Access Restriction
MYai Sells Inc. reserves the right, in its sole discretion and subject to applicable law, to terminate or suspend your access to the Services or any portion thereof at any time. To the maximum extent permitted by law, these Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, and you consent to the exclusive jurisdiction and venue of state and federal courts located in Georgia for all disputes not subject to arbitration.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and MYai Sells Inc. as a result of these Terms or your use of the Services. Our performance under these Terms is subject to existing laws and legal process, and nothing in these Terms is in derogation of our right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Services or information provided to or gathered by us with respect to such use.
If any part of these Terms is determined to be invalid or unenforceable under applicable law, that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms will remain in effect.
Unless otherwise specified, these Terms constitute the entire agreement between you and MYai Sells Inc. regarding the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
Changes to Terms
MYai Sells Inc. reserves the right, in its sole discretion, to change these Terms. The most current version will supersede all previous versions. We encourage you to periodically review the Terms to stay informed of updates.
